Articles of Association

Free Methodist Church Bradbury Chun Lei Nursery School Parents-Teacher Association (thereafter referred to as "the Association) was established in September 2008, the Association is composed of parents members and school representatives.

The Association not only organises parent volunteers and implements a variety of home-school activities, but also provides a channel for both parents and the school to exchange opinions concerning the benefits for both parents and students. The Association with the school, fosters the healthy development and enhance the effectiveness for the students and parents, and their whole families. The contributions from the principal, teachers, parents and for those who have worked delicately for the purpose – ‘Unity of Home and School, Linkage between teaching and learning’ are indeed appreciated.

Aims

1.To promote connections and communications between parents and school and to establish a partnership between them

2.To promote the development in academic performance and the physical and mental health of children through close home-school co-operation

3.To develop the potential of parents and to strengthen their relationship with their children through planning and conducting a variety of developmental and recreational activities

Membership, rights and obligations

A. Membership

Parents / guardians of the present child/children enrolled in the school and the employed teachers shall automatically become members.

1.Regularmembers

Parents / guardians with children still studying at the school shall automatically become Regular Members of the Association. Only one family, shall be counted as one unit, and regarded as one Association member, receives the rights of a Regular Member and shall be eligible for election to the Parent Executive Committee Member of the Association.

2.Ex-officio members

All teachers still working at the school shall be Ex-Officio Members. The current teacher, has the children still studying at the school, shall be regarded Teacher Member.

3.Executive Committee members

Parents / guardians with children still studying at the school may stand for election as Executive Committee Members of the Association.

4.OfficialConsultant

The School Supervisor is the Consultant to monitor the operation of the Association.

B. Rights

1.Regular Members

 

  • participate all activities of the Association, elect and to be elected as office-bearer of the Executive Committee Members of the Association

 

2.Ex-OfficioMembers

 

  • participate all activities of the Association, attend meetings, propose motions, second motions, make statements and pass the resolution

 

3.Executive Committee Members

 

  • participate activities of the Association, attend meetings, propose motions, second motions, make statements, pass the resolution, elect and to be elected

 

4.OfficialConsultant

 

  • participate activities of the Association, attend meetings, examine all the documents and give opinions

 

C. Obligations

1.The Association members shall have duties to attend the Annual General Meeting and Extraordinary General Meeting.

2.The Association members shall have duties to comply with the regulations set out in the Article of Association and followed the decisions made at the meetings.

D. Organisation

a. Annual General Meeting:

1.The Annual General Meeting comprising all members of the Association shall be the highest authority. The Annual General Meeting shall be convened in October (the exact date is to be determined by the Executive Committee) and deemed valid if it has a quorum of no less than 30 members. Not less than one week notice shall be given to all members for the calling of Annual GeneralMeeting and an agenda showing the business shall accompany the notice.

2.All members or their representatives shall be entitled to attend the Annual General Meeting.

3.The responsibilities of the Annual General Meeting are to:

I. Amend the Article of Association

II. Carry out the elections

III. Examine and receive the association affairs and financial reports

IV. Discuss and promote the affairs of the association

4.A motion for all the affairs shall be passed only upon the consent of more than half of the members present in the meeting. The Chairperson shall have the right to take the final vote if the pro and con sides share the equal votes.

b. Executive Committee:

1.The positions and duties of all Executive Committee Members: the committee shall comprise 5-15 Executive Committee Members and 2 of them shall be from the Ex-Officio Members.

2. The Parent Executive Committee Members shall be elected by ballot amongst Regular Members in the Annual General Meeting, the appointment of Ex-Officio Members shall be made by nomination of the School.

The framework and obligations are as follows:

  • 2 Chairpersons – one Chairperson shall be elected from the Parent Executive Committee Members and the other Chairperson shall be the School Principal, their duties are: to call for and preside the meetings (Annual General Meeting, Extraordinary General Meeting and Executive Committee Meeting); to monitor the progress of the execution of resolutions made; to report the general affairs in the meetings and to organise the committee election
  • 2 Vice-Chairpersons – one Vice-Chairperson shall be from the Parent Executive Committee Members and the other one shall be fromEx-Officio members, their duties are: to assist the Chairperson to follow through the resolutions made; to assist in promoting activities and arranging publications of newsletters for parents; to liaise with members for participation in relevant meetings and activities and to chair meetings when the Chairperson is absent
  • 2 Secretaries – one shall be from the Parent Executive Committee Members and the other one shall be from Ex-Official Members, their duties are: to assist the Chairperson to draft and send agendas, minutes; and to handle internal and external secretarial work
  • 2 Treasurers – one shall be elected from the Parent Executive Committee Members and the other one shall be the School Principal, their duties are: to handle financial matters; to report the financial situation to the committee and the members regularly; to compile budgets and financial report for the committee to assess
  • 2 Recreation & Welfare Officers – one shall be from the Parent Executive Committee Members and the other one shall be fromEx-Officio Members, their duties are: to organise and implement recreational activities
  • 2 Liaison Officers – one shall be from the Parent Executive Committee Members and the other one shall befrom Ex-OfficioMembers, their duties are: to liaise with members
  • 2.Office-bearers of all Executive Committee Members shall hold office for a term of one school year, from November to September of the next year. The Executive Committee Members shall be eligible for re-election at the expiry of the term. The Chairperson from the Parent Executive Committee Members shall hold the post for one term of the office only.

a. The Association shall be made up of the Annual General Meeting and the Executive Committee (hereinafter referred to as the "Committee”).

b. The Annual General Meeting comprising all Members of the Association shall be the highest authority. During the recess of the Annual General Meeting, the Committee shall be responsible for all affairs or perform all duties of the Association.

c. The Annual General Meeting shall be convened by the Committee, including the Annual General Meeting and the Extraordinary General Meeting.

d. The Annual General Meeting shall at least be held once a year; during the meeting, the Chairperson shall report on the general affairs and the financial status of the Association. The election of the Parent Executive Committee shall be held in the Annual General Meeting in alternate year, and the new Committee Members shall be selected for the new term.

e. After receiving a written request proposing matters for discussion from no fewer than 1/10 of the total registered members of the Association, the Committee shall also convene an Extraordinary General Meeting. The letter of notice for convening the Extraordinary General Meeting shall be delivered to each member of the Association at least 14 days prior to the meeting.

h. The quorum for all "General Meetings” shall not be less than 1/15 of the total registered members; in the event a quorum is not present, the meeting shall be adjourned and be convened not later than a month of the original Meeting. At the reconvened Meeting, any number of Members present shall constitute a quorum.

g. The selection of Parent Executive Committee Member: all Regular Members shall have the right to select any parent to be the Parent Executive Committee Member. The election constitutions shall be amended and endorsed by more than 2/3 of the Executive Committee Members.

i. The nomination of teacher representatives in the Committee; the Teacher Committee Members shall be appointed by the School before the Annual General Meeting and shall be affirmed the delegation in the Meeting.

j. The former and new Executive Committee Members, after Annual General Meeting, shall hold the Executive Meeting within one month. The former Chairperson shall lead the Committee to vote the positions of Executive Committee internally:

1)Chairperson (elected from the Parent committee members, the Chairperson shall not hold office for three consecutive terms)

2)Vice-Chairperson (2, one shall be from the Parent Committee Members and one shall be from the Teacher Committee Members)

3)Secretary (Parent and Teacher Committee Members)

4)Treasurer (Parent and Teacher Committee Members)

5)Recreation and Welfare Officer (Parent and Teacher Committee Members)

6)Liaison Officer (Parent and Teacher Committee Members)

After the election, all Executive Committee Members shall take the handover. New Executive Committee shall hold the first meeting.

k)The term of the office bearers of the Executive Committee shall be one year.

l) If there is a vacancy of the Parent Executive Committee arising in the middle of the academic year, the Executive Committee shall have the right to invite a Parent Member to take up that particular post; if there is a vacancy of Teacher Executive Committee arising in the middle of the academic year, the School Principal shall appoint a teacher to replace that particular post and affirm the appointment in the Executive Committee.

m) The Executive Committee shall have the right to invite appropriate people to be the Honorary President, Honorary Consultant and Advisor.

n) There shall not be two Executive Committee Members from the same family.

o) In all meetings, during the voting of the motion, if the number of votes received from the pro and the con side are the same, the Chairperson shall make the final vote.

p) All Executive Committee Members shall work on a voluntary basis.

q) The quorum for both Parent Committee Members and Teacher Committee Members shall be 50:50 in all meetings in the Executive Committee.

r) If any of the Executive Committee member cannot attend the meetings for three consecutive times without acceptable reason shall ipso facto vacate his/her seat in the Committee.

7. Finance

a) All funds in the Association shall be responsible for all the association affairs and expenses.

b) The treasurer shall report the financial status in the Executive Committee meetings.

c) The Executive Committee shall have the discretion to transfer some of the operating budget of the Association to the School for any purposes which deem to be appropriate and the School Principal shall have the right to utilise the funds.

d) The funds belonging to the Association shall be deposited in a designated bank account. Withdrawal of cheques of the Association shall be endorsed by two persons (i.e. the Chairperson, two Vice-Chairpersons or the Treasurer), and these two persons shall include one Parent Executive Committee Member and one Teacher Executive Committee Member.

9. Amendments of the Article of Association/ Dissolution of the Association

a) Dissolution of the Association shall be based on more than two-thirds of the members present in the Annual General Meeting or Extraordinary General Meeting pass by vote and agree with the dissolution.

Upon the dissolution of the Association, the motion shall have effect and agreed by more than two-thirds of the members present in the meeting. All assets, based on all the decisions from the members, shall be transferred to the School or other charity organisations in Hong Kong.
